Brian Y. Lee
Mr. Lee practices in the areas of complex bankruptcy and business transactions.
Mr. Lee has represented lenders and borrowers in negotiating, documenting, and enforcing secured loans, as well as in workouts, chapter 11 reorganizations, and assignments for the benefit of creditors. He has significant experience negotiating, structuring and documenting UCC foreclosure transactions and consensual transfers of distressed realty in workouts. In bankruptcy matters, he advises and represents lenders on contested use of collateral, relief from the automatic stay, plan confirmation and other related issues.
Mr. Lee also represents commercial creditors concerning enforcement of their creditors’ rights, disputes over allowance of their claims, defenses of avoidance actions, contract assumption and rejection and other related issues. Mr. Lee regularly advises and represents some of the largest Asia-based electronics, high-tech, and consumer product companies dealing with US bankrupt customers.
Mr. Lee has extensive experience advising clients regarding investment or acquisition opportunities in connection with distressed entities and assets. He also represents lenders and investors in their dispositions of under-performing portfolio companies and assets. Mr. Lee regularly assists clients with structuring, negotiating and documenting distressed transactions, as well as counseling on the bankruptcy implication of such transactions.
In addition, Mr. Lee has also had experience advising small and medium-sized businesses, as well as entrepreneurs, on a wide range of business legal issues, including, without limitation, general corporate transactions, buying and selling businesses, international joint ventures, commercial contracts and leases, and matters involving minority shareholder or partner oppression.
Prior to founding PivotPoint Law, Mr. Lee practiced law in the San Francisco office of Winston & Strawn, LLP. He is an active member of the legal community. He currently chairs the Business Law Section for the Bar Association of San Francisco and served as its Vice Chair from 2009-2010. From 2002-2004, he served on the board of the San Francisco Barrister Club and was a member of the Audit Committee and the Minority Scholarship Committee. From 2001-2002, he was the chair of the Bankruptcy Section of the Barrister Club.
